These Terms cover your use of the Keyspire website only. If you purchase a program, coaching, membership, or other service from us, your purchase is also governed by our Customer Terms of Service and any product-specific agreement you sign at the time of purchase.

1. WHO WE ARE

Keyspire Group Inc. ("Keyspire", "we", "us", "our") is a Canadian real estate investing education company incorporated in Ontario, Canada. We provide educational programs, coaching, live events, and community experiences for real estate investors across Canada and the United States. We do not provide legal, tax, accounting, mortgage, securities, or financial advice.

2. ACCEPTANCE OF THESE TERMS

By visiting, browsing, or using keyspire.com (the "Site"), you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. Your continued use of the Site after any updates to these Terms constitutes your acceptance of the updated version.

If you are using the Site on behalf of a company or organization, you confirm you have the authority to bind that organization to these Terms.

Some parts of the Site may have additional specific terms (e.g., competitions, contests, or campaigns). If there is any conflict between these Terms and specific terms on the Site, the specific terms will prevail for that part of the Site.

3. ELIGIBILITY

The Site and Keyspire's services are intended for adults. By accessing or using our services, you affirm that you are at least eighteen (18) years of age or the legal age of majority in your province or state of residence (whichever is greater), and that you have the capacity to enter into a binding agreement with us. If you are under eighteen (18), you may only use our services with the involvement and consent of a parent or legal guardian.

4. AUTHORIZED USE

You may visit, browse, and use this Site for lawful, personal, and non-commercial purposes. Specifically, you may:

• Access linked resources we provide

You may not use the Site to commit any unlawful, harmful, or unethical act. Without limiting the foregoing, the following are expressly prohibited:

Harmful or Prohibited Acts:

• Violate any applicable law or regulation

• Hack, attack, or otherwise interfere with the security or operation of the Site or any Keyspire platform

• Introduce, transmit, or store viruses, malware, or other malicious code

• Frame, mirror, scrape, crawl, screen-grab, or otherwise copy content from the Site without our written permission

• Use any automated agent, robot, script, or spider to access, monitor, or copy any part of the Site

• Intercept or expropriate data from the Site

• Create, benchmark, or gather intelligence for a competing product or service using Keyspire's content, tools, frameworks, or AI systems

• Infringe the intellectual property rights of Keyspire or any third party

• Impersonate Keyspire, its employees, coaches, or any other person

Prohibited Communications:

• Transmit spam, malware, harmful code, or unsolicited communications of any kind

• Post or authorize unsolicited promotional content, spam, or unauthorized communications on or about Keyspire's platforms, community, or social media channels

• Send communications that are sexually explicit, obscene, vulgar, pornographic, hateful, threatening, defamatory, harassing, discriminatory, or graphically violent

• Disguise the origin or subject matter of any communication, or falsify message headers or transmission path information

Prohibited Business Activities:

• Promote or operate any multi-level marketing (MLM) scheme, pyramid scheme, or chain letter using Keyspire's platforms, community, or resources

• Solicit Keyspire members, clients, or event attendees to join any affiliate program, referral network, or third-party business opportunity using Keyspire's platforms or community spaces

• Use Keyspire's name, brand, community, events, or platforms to market, promote, or distribute products or services of any third party without Keyspire's prior written consent

• Use the Site for any commercial purpose without our written consent

• Resell, re-distribute, or export any Keyspire product or service

Prohibited Data Activities:

• Collect, harvest, or attempt to obtain personal information (including names, emails, phone numbers, or mailing addresses) of other Keyspire members, clients, or event attendees

• Upload or submit to any Keyspire platform or tool any sensitive personal data of a third party, including social security or social insurance numbers, credit card data, passwords, security credentials, bank account numbers, or personal health or financial information, without that person's express consent

• Submit or import contact lists or data to any Keyspire tool that were obtained through purchased, rented, or scraped lists

We reserve the right to screen, filter, and/or monitor content and activity on the Site. Violation of these restrictions may result in immediate suspension or termination of access without refund, and Keyspire reserves the right to pursue all available legal remedies.

5. ACCOUNT REGISTRATION AND SECURITY

To access certain Keyspire programs, platforms, or online communities, you may be required to create an account and provide accurate, current, and complete information. You warrant that all information you provide is truthful and accurate and that you are not impersonating another person.

You are responsible for maintaining the confidentiality of your username, password, and access credentials, and for restricting access to your account. You accept responsibility for all activities that occur under your account or password, whether authorized by you or not. You agree to notify Keyspire immediately of any unauthorized use of your account, breach of security, or suspected misuse at [email protected]. Keyspire shall not be liable for any loss or damages resulting from your failure to comply with these obligations.

6. INTELLECTUAL PROPERTY

All concepts, strategies, frameworks, methods, tools, training materials, software, recordings, videos, presentations, designs, and any other intellectual property provided or made accessible by Keyspire (collectively, the "Keyspire IP") — including all content on this Site, our trademarks, trade names, logos, metatags, hashtags, and the overall look and feel of the Site — are and shall remain the exclusive property of Keyspire Group Inc. and its licensors, and are protected by Canadian and international intellectual property laws.

Our registered and unregistered trademarks include KEYSPIRE, KNOWLEDGE EMPOWERS YOU, WEALTH TOUR, and related marks. You may not use our trademarks, logos, or brand elements without our prior written permission.

You are granted a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Keyspire IP solely for your own personal real estate investing activities. This license does not permit you to copy, reproduce, modify, distribute, publish, sublicense, create derivative works from, or exploit the Keyspire IP in any form without Keyspire's prior written consent.

You may share links to pages on our Site. You may not reproduce, republish, copy, modify, distribute, or create derivative works from our content without written permission. All copyright, trademark, and other proprietary notices on the Site or any content must be retained and displayed at all times.

Any unauthorized use of the Keyspire IP constitutes a material breach of these Terms and may result in termination of access without refund and Keyspire pursuing all available legal and equitable remedies.

7. USER SUBMISSIONS AND CONTRIBUTIONS

"Contribution" includes all content and materials provided to or uploaded by visitors to the Site, including videos, clips, pictures, reviews, comments, blog entries, forum posts, and all other user-generated material.

If you submit comments, questions, ideas, testimonials, or other content through the Site ("Submissions"), you grant Keyspire a worldwide, royalty-free, non-exclusive, perpetual, irrevocable, and transferable license to use, display, reproduce, modify, adapt, publish, distribute, and create derivative works from your Submission in any media, now known or later developed, for marketing, training, or promotional purposes. You agree that this license may be assigned by Keyspire to any other party.

You represent that your Submission is original to you, does not infringe anyone else's rights, and that you have all necessary rights to grant this license. You confirm that your Submission does not contain defamatory, obscene, harassing, or unlawful content and does not infringe any third party's rights.

Please do not submit confidential information through public forms or contact fields. By submitting ideas, suggestions, or other content to us, you are assigning to us all related right, title, and interest, without compensation or further obligation to you.

Keyspire reserves the right to correct grammatical and typing errors, shorten submissions prior to publication, and remove, edit, moderate, or decline any Submission at its absolute discretion. Keyspire is not obligated to use any Submission.

8. TESTIMONIALS AND RESULTS DISCLAIMER

Keyspire may display testimonials, reviews, or success stories from members or clients. These reflect the personal experiences and opinions of those individuals and are not guarantees of future performance.

Individual results will vary and depend on numerous factors, including personal effort, market conditions, financial resources, and individual circumstances. Keyspire makes no representation that you will achieve the same or similar results. Testimonials are provided voluntarily and without compensation unless expressly disclosed.

11. YOUR BUSINESS RESPONSIBILITIES

Keyspire provides education, coaching, and community support only. You are solely responsible for your own real estate investing activities, business decisions, and compliance with all applicable laws and regulations, including but not limited to real estate laws, securities laws, tax laws, advertising and marketing rules, and licensing requirements in your jurisdiction.

You represent and warrant that you operate in good standing and that you and any business associated with you are not the subject of any pending or threatened government investigation, regulatory inquiry, or prosecution by any governmental authority or industry regulator. If at any time during your use of Keyspire's services you or any related business becomes the subject of such an investigation, inquiry, or proceeding, you agree to notify Keyspire promptly. Keyspire reserves the right to terminate your access without liability upon learning of any such matter.

You are solely responsible for conducting your own due diligence and for collecting, reporting, and paying any applicable taxes arising from your business or investment activities. Keyspire does not collect or remit taxes on your behalf and shall have no liability for your failure to comply with legal or tax obligations.

12. THIRD-PARTY LINKS AND CONTENT

This Site may contain links to third-party websites, resources, or services. These links are provided for convenience only. Keyspire does not control, endorse, or take responsibility for the content, privacy practices, or availability of any third-party site.

13. SPONSORS, EXHIBITORS, AND THIRD-PARTY PROVIDERS

From time to time, Keyspire events, webinars, and platforms may feature sponsors, exhibitors, or third-party service providers. Their presence does not constitute Keyspire's endorsement, recommendation, or approval of their products, services, or investment opportunities.

Keyspire does not vet, screen, or guarantee the suitability of any sponsor, exhibitor, or third-party provider. Any dealings you have with third parties you encounter through Keyspire are solely between you and that third party. You agree to conduct your own independent due diligence before entering into any transaction or relationship with a third party.

14. PRIVACY AND COOKIES

Your privacy matters to us. How we collect, use, and protect your personal information is described in our Privacy Policy, available at keyspire.com/privacy-policy. Our Privacy Policy also serves as our Cookie Policy and explains how we use cookies and similar tracking technologies on this Site.

By using this Site, you consent to our data practices as described in our Privacy Policy.

15. RECORDINGS AND AI TOOLS

Keyspire events, webinars, coaching sessions, and online programs may be recorded and may use AI-assisted tools for transcription, note-taking, or quality assurance. By participating in any Keyspire event or session, you acknowledge and consent to recording and the use of AI tools as described in our Customer Terms of Service.

Keyspire also offers an AI Real Estate Investor Assistant to eligible coaching clients. The terms governing use of the AI Investor Assistant are set out in your AI Investor Assistant Supplemental Agreement and the AI Terms of Use available at keyspire.com/ai-terms-of-use.

16. CONFIDENTIALITY AND DATA USE

Users shall not:

• Collect, harvest, or attempt to obtain personal information (including names, emails, phone numbers, or mailing addresses) of other Keyspire members, clients, or event attendees

• Copy, reproduce, distribute, or disclose Keyspire's proprietary training materials, course content, or community discussions without Keyspire's prior written consent

• Use any part of Keyspire's services or community for unauthorized solicitation, promotion, or referrals

• Upload or share sensitive personal data of any third party to any Keyspire platform without that person's express consent

Violation of this section may result in immediate suspension or termination of access without refund, and Keyspire reserves the right to pursue all available legal remedies.

17. NON-DISPARAGEMENT AND COMMUNITY INTEGRITY

Users agree not to make negative, disparaging, or misleading statements about Keyspire, its programs, employees, coaches, or members in any medium — including online forums and social media — where such statements could harm Keyspire's reputation or community integrity.

Keyspire reserves the right to suspend or terminate access for violations of this provision without refund.

18. YOUR REPRESENTATIONS AND WARRANTIES

By accessing or using this Site, you represent and warrant that:

• You are at least eighteen (18) years of age, or the legal age of majority in your jurisdiction, whichever is greater

• If you are acting on behalf of a company or organization, you have the legal authority to bind that entity to these Terms

• You have read these Terms and thoroughly understand and agree to all provisions herein

• You will not resell, redistribute, or export any Keyspire product, service, or content purchased or accessed through this Site

• All information you provide to Keyspire is truthful, accurate, and complete

• Your use of the Site complies with all applicable laws and regulations in your jurisdiction

You acknowledge that Keyspire has the right to rely upon all information you provide, and may contact you by email, telephone, or mail for purposes including follow-up communications, satisfaction inquiries, and order-related notifications.

19. DISCLAIMERS

This Site and all content are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied. To the fullest extent permitted by applicable law, Keyspire disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

We do not represent or warrant that: (a) the Site will be secure, timely, uninterrupted, or error-free; (b) the Site will meet your requirements or expectations; (c) any stored data will be accurate or reliable; (d) errors or defects will be corrected; or (e) the Site or its servers are free of viruses or other harmful components.

We expressly disclaim any and all representations and warranties as to the reliability, timeliness, quality, suitability, availability, accuracy, and completeness of any information on this Site. We reserve the right to modify, suspend, or discontinue the Site or any feature at any time without notice.

20. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Keyspire Group Inc. and its officers, directors, employees, contractors, and agents will not be liable for any injury, loss, claim, or any direct, indirect, incidental, special, consequential, punitive, or exemplary damages arising from your use of, attempted use of, or inability to use this Site or any content on it, including but not limited to lost profits, lost revenue, lost savings, loss of data, loss of goodwill, or replacement costs.

In no event shall our total liability to you for any claim arising from your use of, attempted use of, or inability to use this Site exceed one hundred Canadian dollars (CAD $100). This limitation applies to all claims regardless of whether Keyspire was advised of the possibility of such damages.

Some jurisdictions do not permit the exclusion or limitation of certain damages. Where prohibited by law, these limitations apply only to the extent permitted.

21. INDEMNIFICATION

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Keyspire Group Inc. and its officers, directors, employees, shareholders, contractors, licensors, and agents from and against any and all claims, actions, losses, liabilities, damages, expenses, demands, and costs of any kind — including reasonable legal fees — arising out of or related to: (i) your use, misuse, attempted use, or inability to use the Site, information, or services; (ii) information you submit or transmit through the Site; (iii) your breach of these Terms or the representations and warranties provided herein; or (iv) your violation of any law or the rights of a third party.

22. ELECTRONIC COMMUNICATIONS AND SIGNATURE

By accessing Keyspire's services, creating an account, or agreeing to these Terms electronically (including by clicking "I Agree," checking a box, or completing a purchase), you consent to conduct business with Keyspire electronically. You agree that all agreements, notices, disclosures, consents, and other communications provided by Keyspire electronically satisfy any legal requirement that such communications be in writing.

You further agree that your electronic acceptance constitutes a binding signature, equivalent to a handwritten signature, and that you will not contest the validity or enforceability of these Terms or any related contract based on the fact that it was executed electronically.

23. REFUNDS AND AUTO-RENEWALS

Unless otherwise stated in a written agreement with Keyspire:

• All program fees are non-refundable, subject to the ten (10) business day statutory cancellation right under applicable consumer protection laws

• No partial refunds will be provided for early termination after the cancellation period

• Certain subscriptions (such as the Keyspire Inner Circle) renew automatically at the prevailing rate unless cancelled prior to the renewal date. By signing up, you provide express informed consent to automatic billing

• Renewal terms, prices, or inclusions may change and will be communicated in advance

• Unused coaching sessions or program benefits do not carry over into renewal periods

24. FORCE MAJEURE

Neither Keyspire nor the user shall be liable for any failure or delay in performing obligations under these Terms (other than payment obligations already due) if and to the extent such failure or delay is caused by events beyond that party's reasonable control, including without limitation: acts of God, fire, flood, epidemic or pandemic, public health emergency, government order or restriction, labour dispute or strike, civil unrest, war, terrorism, failure of utilities or internet services, or interruption or discontinuation of third-party technology platforms or services.

If a Force Majeure Event continues for more than fifteen (15) consecutive days, either party may terminate the affected portion of the services upon written notice, without further liability, except for payment for services properly rendered up to the effective date.

25. COPYRIGHT NOTICE AND TAKEDOWN

Keyspire respects the intellectual property rights of others and expects its users to do the same. If you believe that material available on any Keyspire platform infringes your copyright, you (or your authorized agent) may submit a written notice to our Copyright Agent requesting that the material be removed. The notice must include:

• Identification of the copyrighted work claimed to have been infringed

• Identification of the material claimed to be infringing and information reasonably sufficient to permit Keyspire to locate it

• Your name, mailing address, telephone number, and email address

• A statement that you have a good-faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law

• A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf

Counter-notices disputing claims may also be submitted in writing. All notices and counter-notices should be sent to:

Keyspire reserves the right to remove or disable access to any material alleged to be infringing and to terminate the accounts of repeat infringers.

26. DISPUTE RESOLUTION

The parties agree to first attempt in good faith to resolve any dispute, controversy, or claim arising out of or relating to these Terms through direct negotiation. If unresolved within thirty (30) days, the dispute shall be submitted to non-binding mediation in Ontario, Canada.

If not resolved within sixty (60) days of mediation, the dispute shall be finally resolved by confidential binding arbitration under the Arbitration Act, 1991 (Ontario), before a single arbitrator. Arbitration shall be conducted in Toronto, Ontario in English. Any award rendered shall include a confidential written opinion. Judgment on the award may be entered in any court of competent jurisdiction.

All claims must be brought within one (1) year after the claim arises. Any claim not brought within this period is permanently barred. This one-year limitation period includes any informal negotiation or mediation procedures described above.

Notwithstanding the foregoing, either party may seek injunctive or equitable relief from a court of competent jurisdiction to protect its intellectual property, confidential information, or other rights where immediate relief is necessary.

27. ARBITRATION AND CLASS ACTION WAIVER

PLEASE READ THIS ARBITRATION PROVISION CAREFULLY. EXCEPT WHERE PROHIBITED BY LAW, YOU AGREE THAT ANY CLAIM YOU MAY HAVE MUST BE RESOLVED THROUGH FINAL AND BINDING CONFIDENTIAL ARBITRATION. YOU WAIVE YOUR RIGHT TO A TRIAL BY JURY AND YOUR RIGHT TO PARTICIPATE IN ANY CLASS OR REPRESENTATIVE PROCEEDING.

Any dispute, claim, or controversy arising out of or relating to these Terms, your participation in any Keyspire program, or your use of Keyspire's services shall be resolved exclusively by final and binding confidential arbitration under the Arbitration Act, 1991 (Ontario), before a single arbitrator. The arbitration shall be conducted in Toronto, Ontario in English, and judgment on the award may be entered in any court of competent jurisdiction.

You agree that all claims will be brought on an individual basis only, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator shall not consolidate the claims of more than one person, nor preside over any form of a class or representative proceeding.

If the class action waiver in this section is deemed unenforceable by a court of competent jurisdiction such that arbitration would proceed as a class or representative action, then this entire arbitration provision shall be rendered null and void and shall not apply. If any other portion of this arbitration provision is deemed unenforceable, the remaining portions shall remain in full force and effect.

This arbitration and class action waiver provision shall survive termination of your relationship with Keyspire.

28. ADDITIONAL REMEDIES

In the event of any actual or threatened breach of these Terms — including but not limited to the unauthorized use of Keyspire's intellectual property, confidential information, or proprietary materials — Keyspire shall be entitled, in addition to any other rights and remedies available, to seek immediate injunctive or equitable relief from a court of competent jurisdiction in Ontario.

Nothing in these Terms shall be construed as limiting Keyspire's right to pursue in court any other remedies available to it for such breaches, including the recovery of monetary damages.

29. TERMINATION AND SURVIVAL

Keyspire may suspend or terminate your access to its services, programs, or platforms at any time, with or without notice, if you breach these Terms or engage in conduct that Keyspire determines, in its sole discretion, may harm its reputation, community, or business.

Upon termination, your right to access services immediately ceases. You remain responsible for any outstanding payments owed to Keyspire, which become immediately due upon termination.

The following provisions shall survive termination and remain in full force and effect: Intellectual Property, Confidentiality and Data Use, Non-Disparagement, Representations and Warranties, Indemnification, Limitation of Liability, Dispute Resolution, Arbitration and Class Action Waiver, and any other provisions which by their nature are intended to survive.

30. ASSIGNMENT

Keyspire may assign or transfer its rights and obligations under these Terms, in whole or in part, to any affiliate, successor, purchaser, or other third party, without notice and without restriction. You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without the prior written consent of Keyspire. Any attempted assignment in violation of this provision shall be null and void.

31. GOVERNING LAW AND VENUE

These Terms and any dispute arising out of or relating to them shall be governed exclusively by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

You agree that any claim or dispute not subject to arbitration must be brought exclusively in the courts located in Toronto, Ontario, Canada. You irrevocably consent to the exclusive personal jurisdiction and venue of such courts.

We make no representation that content on the Site is appropriate or available for use at locations other than Canada and the USA. If you access the Site outside of Canada and the USA, you are responsible for compliance with all local laws.

32. CHANGES TO THESE TERMS

We may update these Terms at any time by posting the updated version on this page and updating the effective date. Material changes will be communicated by reasonable means. Your continued use of the Site after any update constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

33. NO WAIVER

The failure of Keyspire to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver shall be deemed effective unless made in writing and signed by an authorized representative of Keyspire. Any waiver of a breach of these Terms shall not constitute a waiver of any subsequent breach.

34. SEVERABILITY AND ENTIRE AGREEMENT

If any provision of these Terms is found to be invalid or unenforceable, that provision will be severed and the remaining Terms will continue in full force and effect.

These Terms, together with Keyspire's Privacy Policy and any additional written agreements you enter into with Keyspire, constitute the entire agreement between the parties with respect to your use of this Site and supersede all prior oral and written commitments, contracts, or understandings. Any ambiguities in the interpretation of these Terms shall not be construed against Keyspire as the drafting party.

35. NOTICES

Keyspire may provide notices to you through email, posting within your account or the member portal, or by posting a notice on keyspire.com. Notices shall be deemed delivered:

• If sent by email, on the date the email is sent (provided no bounce-back or delivery failure notice is received)

• If sent by courier or registered mail, upon confirmation of delivery

• If posted on the Keyspire website or member portal, upon posting
