KEYSPIRE MARKETING AFFILIATE PROGRAM TERMS AND CONDITIONS

These Affiliate Terms & Conditions (the “Terms”) govern participation in the Keyspire Marketing Affiliate Program (the “Program”) and apply to all affiliates and affiliate applicants (each, an “Affiliate”).

These Terms are incorporated by reference into the Keyspire Marketing Affiliate Agreement (the “Agreement”). Capitalized terms not defined herein have the meanings given in the Agreement.

Participation in the Program constitutes acceptance of these Terms.

1 PROGRAM SCOPE

These Terms & Conditions govern participation in the Keyspire Marketing Affiliate Program (the “Program”) and apply to all affiliate campaigns, promotions, events, products, or services that Keyspire may make available to affiliates from time to time.

Affiliate participation is limited to those specific campaigns, programs, products, events, or promotions that are expressly approved by Keyspire, whether through a written affiliate agreement, or other written authorization.

Affiliates are not authorized to promote any Keyspire programs, products, events, or campaigns unless expressly approved in writing by Keyspire.

The specific terms, commission structure, attribution rules, and campaign scope applicable to any affiliate promotion shall be governed by the applicable affiliate agreement or written campaign authorization.

2. ELIGIBILITY & APPROVAL

Participation in the Program is subject to Keyspire’s prior approval.

Keyspire may approve, reject, suspend, or revoke an Affiliate’s participation at any time, in its sole discretion, including for violation of these Terms, the Agreement, or applicable law.

Affiliates must promptly notify Keyspire of any material change to their legal name, business structure, ownership, or contact information.

Affiliates may not authorize or permit any third party to promote the Campaign on their behalf.

3. GENERAL MARKETING STANDARDS

Affiliates must:

Act honestly, professionally, and in good faith

Comply with all applicable laws and regulations, including CASL, the Competition Act, and applicable advertising standards

Accurately represent Keyspire and the Campaign

Avoid misleading, deceptive, or high-pressure marketing practices

Affiliates are solely responsible for all content, messaging, and marketing activities they create or distribute.

4. PROHIBITED CLAIMS

Affiliates may not, under any circumstances:

Make income, earnings, profit, or investment return claims

State or imply guaranteed results or success

Represent the Campaign as a business opportunity, franchise, or assisted marketing plan

Suggest insider access, special treatment, or preferential outcomes

Personal experiences may be shared only if clearly identified as individual results and accompanied by appropriate disclaimers.

5. ADVERTISING & PROMOTION RESTRICTIONS

5.1 Paid Advertising

Affiliates may NOT:

Run paid advertisements relating to the Campaign on Google, Meta (Facebook/Instagram), YouTube, TikTok, native advertising platforms, or similar channels

Boost, sponsor, or otherwise pay to amplify Campaign-related content

5.2 Trademark & Keyword Restrictions

Affiliates may NOT:

Bid on, purchase, or use any of the following (or variations, misspellings, or confusingly similar terms) in advertisements, domains, social handles, or URLs:

“Keyspire”

“Michael Sarracini”

“Scott McGillivray”

Register or use domains, URLs, or subdomains containing Keyspire trademarks or brand names

6. PERMITTED MARKETING CHANNELS

Affiliates may promote the Campaign only through their own lawful, opt-in channels, including:

Opt-in email lists owned or lawfully controlled by the Affiliate in compliance with CASL and any other applicable anti-spam laws.

Personal or business websites and blogs

Organic (non-paid) social media posts

Private communities or groups owned by the Affiliate

All promotions must comply with these Terms and applicable law.

7. PLATFORM & COMMUNITY RESTRICTIONS

Affiliates may NOT:

Post affiliate links or promotional content in:

Keyspire-owned or Keyspire-managed Facebook groups, Event chats, live webinar chats , Zoom chats or Q&A features, or any other Keyspire audience assets or Keyspire-controlled community or platform.

8. USE OF LIKENESS & CONTENT

Affiliates may NOT, without prior written consent from Keyspire:

Use photos, videos, recordings, screenshots, or audio of:

Michael Sarracini

Scott McGillivray

Keyspire staff, speakers, or trainers

Use excerpts or clips from events, workshops, or trainings

Affiliates may use only approved marketing assets provided by Keyspire and may not alter such materials.

9. CONTENT OWNERSHIP & RIGHTS WARRANTY

Affiliate represents and warrants that all content, materials, images, videos, audio, and copy used in connection with promotion of the Campaign are either original to the Affiliate or properly licensed for such use, and do not infringe the intellectual property, privacy, or publicity rights of any third party.

Affiliate agrees to indemnify and hold Keyspire harmless from any claims arising from Affiliate’s promotional content.

10. RELATIONSHIP DESCRIPTION GUIDELINES

Affiliates may describe their relationship with Keyspire, Michael Sarracini, and Scott McGillivray in their own words, provided that such descriptions are truthful, not misleading, and consistent with the nature of the Affiliate Program.

Affiliates MAY:

  • Describe themselves as an affiliate, promoter, collaborator, or trusted voice introducing Keyspire
  • State that they are sharing Keyspire with their audience or helping introduce people to Keyspire’s education
  • Reference a professional relationship, collaboration, or long-standing working relationship, where accurate
  • Share personal experiences or history working with or alongside Keyspire, Michael, or Scott, where truthful
  • Clarify that they may be compensated for referrals through the Affiliate Program

Affiliates MAY NOT:

  • Represent themselves as an employee, agent, spokesperson, officer, or representative of Keyspire
  • Claim to speak on behalf of Keyspire, Michael, or Scott
  • Suggest ownership, equity, or decision-making authority within Keyspire
  • Imply endorsement of third-party products, services, or investments by Keyspire
  • Represent the relationship as a joint venture, partnership, or business entity beyond participation in the Affiliate Program

Affiliates are responsible for ensuring that any description of their relationship is accurate and not misleading. Keyspire reserves the right to request modification or removal of any description that does not comply with these guidelines.

11. DISCLOSURE REQUIREMENTS

Affiliates must comply with all applicable advertising, consumer protection, and disclosure laws, as well as the disclosure requirements of any platform on which they promote Keyspire.

Where required, Affiliates must clearly and conspicuously disclose their financial relationship with Keyspire in connection with promotional activities. The form, wording, and placement of such disclosure may vary by platform and medium, provided it is clear, prominent, and not misleading.

12. BONUSES, INCENTIVES & ADDITIONAL OFFERS

Affiliates may NOT offer bonuses, rebates, cash incentives, prizes, discounts, or additional products or services in connection with promoting the Campaign without prior written permission from Keyspire.

Any approved bonus or incentive must be used strictly in accordance with the permission granted.

13. SPAM, AUTOMATION & UNSOLICITED OUTREACH

Affiliates may NOT:

Send spam or unsolicited messages

Use bots, scraping tools, automation software, or bulk messaging systems

Engage in any outreach that violates CASL, platform policies, or applicable law

14. LEADS & DATA OWNERSHIP

Affiliates retain ownership and control over their own audiences, email lists, communities, and contact databases that exist independently of the Program.

All leads, registrations, customer information, and data generated as a result of an individual registering for, attending, or purchasing any Keyspire program, event, or offer through an affiliate referral are the property of Keyspire.

15. AFFILIATE PORTAL USE

Keyspire may provide Affiliates with access to an online affiliate portal or dashboard (the “Affiliate Portal”) for the purpose of accessing approved marketing assets, tracking links, and viewing campaign-related information.

Access to the Affiliate Portal is provided for convenience only and may be modified, suspended, or revoked by Keyspire at any time, in its sole discretion.

All data, statistics, referral counts, commission calculations, and reports displayed in the Affiliate Portal are provided for informational purposes only. Keyspire’s internal systems, records, and determinations shall be the sole and final authority for referral attribution, commission eligibility, and payment amounts.

Affiliate is responsible for maintaining the confidentiality and security of its portal login credentials and may not share access with any third party. Affiliate may not copy, scrape, reproduce, distribute, or publicly disclose any information or materials obtained through the Affiliate Portal except as expressly authorized by Keyspire.

Any misuse of the Affiliate Portal or violation of these Terms may result in suspension of access, forfeiture of commissions, or termination of Affiliate participation.

16. COMPLAINT & REGULATORY NOTICE

Affiliates must notify Keyspire within twenty-four (24) hours of receiving:

Consumer or customer complaints

Advertising or platform complaints

Regulatory inquiries or notices

Platform warnings, suspensions, or takedown requests

17. MONITORING, ENFORCEMENT & TAKEDOWN

Keyspire reserves the right to:

Monitor Affiliate marketing activities

Require immediate modification or removal of any promotional content

Suspend tracking or commissions

Terminate Affiliate participation immediately

Affiliate agrees to immediately remove or modify any promotional content upon Keyspire’s request.

Violations may result in commission forfeiture and termination.

All enforcement decisions shall be made in Keyspire’s sole discretion.

18. Privacy & Data Protection.

Keyspire collects, uses, discloses, and safeguards personal information in accordance with its Privacy Policy and applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA).

By participating in the Program, Affiliate acknowledges and agrees that personal information may be collected and processed by Keyspire for the purposes of administering the Program, tracking referrals, communicating with Affiliates, and fulfilling legal and regulatory obligations, including where such information may be processed or stored outside of Canada in accordance with Keyspire’s Privacy Policy.

Affiliate represents and warrants that any personal information collected or used by Affiliate in connection with promotion of the Campaign has been collected in compliance with applicable privacy and anti-spam laws, including PIPEDA and CASL, and that Affiliate has obtained all necessary consents.

Affiliate agrees to indemnify and hold Keyspire harmless from any claims arising from Affiliate’s failure to comply with applicable privacy or data protection laws.

19. MODIFICATIONS TO TERMS

Keyspire may update these Terms from time to time upon notice.

Continued participation in the Program after notice constitutes acceptance of updated Terms.

20. NO WAIVER

Failure by Keyspire to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

21. GOVERNING LAW

These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein.

23. Competing Services

“Competing Services” means real estate education, coaching, mentorship, or training programs that are substantially similar in subject matter and target audience to the Keyspire programs being promoted under this Agreement, and that are offered in a manner intended to divert or compete for the same prospective customers during the term of the affiliate relationship.

For clarity, Competing Services do not include:

  • General real estate investing content, podcasts, books, or free education
  • Unrelated business coaching, consulting, or services
  • Passive investments or private deals
  • Educational programs outside of real estate investing
